By accessing the website you warrant and represent to the Website owner that you are legally entitled to do so, including that you are over 18 years old or have reached full legal age in the country from where you are accessing the website. If you do not agree to be bound by these terms and conditions you may not use or access this website. We may change these Conditions at any time without notice. The latest version of these Conditions is available on our Website. The www.sugarproduct.com website is provided solely for your personal use. You may not use this website for any commercial purpose.

1 – Scope

These are the terms and conditions of sale ("Conditions") of SPACE SARL (the “Company”, “we”, “us”) registered brands. These Conditions will apply to all purchases of Goods via our website www.sugarproduct.com (the "Website"), under the condition that you (the Customer submitting an order for Goods with no commercial purpose) live in the country from where you are accessing the website when you order via the website; and to all deliveries related to said purchase(s) to the Customer or to any third party (named by the Customer) residing in the same country with same legal entitlement as the Customer. These terms shall apply to all purchases of Goods ordered via the Website and the Customer confirms unconditional acceptance of these conditions when confirming an order on the Website. We may change these Conditions at any time without notice. The latest version of these Conditions is available on our Website. Conditions applying are those in effect on the day of the purchase(s).

3 – Information on the Website and disclaimer of Liability

Most of the Goods on the Website are also available for sale in retail stores in Europe and other foreign countries, according to inventories. However, some Goods sold on the Website may not be available in said retail stores. The Company makes no guarantees that all Goods sold on the Website are available in retail stores selling the Company’s brands. Every care has been taken to ensure that the photographic representation, description and specification of each product are accurate. However, while the reproduction of colours is a close representation, a slight variation in the actual goods may occur. We are therefore unable to guarantee that the product images you see are an accurate representation of the actual merchandise.The Company shall not be responsible for such discrepancies. SPACE SARL only has a best effort obligation and shall not be responsible for and disclaims all liability for any loss, liability, damage (whether direct, indirect or consequential), personal injury or expense of any nature whatsoever which may be suffered by you or any third party (including your company), as a result of or which may be attributable, directly or indirectly, to your access and use of the website, any information contained on the website, your or your company's personal information or material and information transmitted over our system. In particular, neither the Company nor any third party or data or content provider shall be liable in any way to you or to any other person, firm or corporation whatsoever for any loss, liability, damage (whether direct or consequential), personal injury or expense of any nature whatsoever arising from any delays, inaccuracies, errors in, or omission of any share price information or the transmission thereof, or for any actions taken in reliance thereon or occasioned thereby or by reason of non-performance or interruption, or termination thereof, nor in case of force majeure as defined by Law. SPACE SARL reserves the right at any time to change or discontinue without notice, any aspect or feature of this website and Conditions. All provisions of any relevant terms and conditions, policies and notices are, notwithstanding the manner in which they have been grouped together or linked grammatically, severable from each other. We may change these Terms and Conditions at any time. If any of these terms and conditions is invalid or unenforceable, the remainder of these terms and conditions shall continue to have full force and effect.

4 – Orders

4.1 Orders may only be placed by legally authorized Customers aged 18 and over and holding a personal bank credit card (Visa – MasterCard–‘Carte Bleue’) with exclusion of any other means of payment. All orders are subject to availabilities. Customers have access to stock availabilities and product descriptions on the Website. Should one product be out of stock, the Company will rapidly advise Customers by email and will issue a refund of the exact corresponding price to the original card that was used for the purchase or may suggest to the Customer to amend placed order according to stock availabilities.

4.2 The Company reserves the right to refuse your order request should your payment records be unsatisfactory. Failure to meet the eligibility to order criteria set out in the Terms and Conditions may occur. In this case, the Company may advise you by phone or email within six (6) days after you placed your order. The absence of action or inappropriate action shall result in the pure and simple cancellation of your order.

5 – Use of your information.

When you place orders on our Website, we collect certain personal and transactional information (i.e. name, address, email address, phone number and credit card details) from you so that we can process, fraud check and deliver your order. Details of your address and also the telephone number and email you have provided us will be shared with our courier partner; these details have been shared to assist in providing you with 1st class delivery service and will not be used by this third party for any other reasons. These details allow us to process your order and to let you know the status of your order. In accordance with Law of 6th January 1978 regarding Information Technology and Privacy, amended 6th August 2004 (French Law), all customers may alter, oppose and have access to their personal information. 6 – Online orders on our Website

The customer shall carefully follow the instructions on the Website when placing orders to ensure proper processing.

7 – Order Acceptance

Emails and Website records are proof (order acceptance, payment, order date and content) between you and the Company.

8 - Price

Unless otherwise stated, all prices on the Website are in Euro and inclusive of VAT but excluding delivery charges.

In accordance with applicable law and regulations in force, all purchase(s) via our Website are subject to the value added tax (VAT). Therefore, in accordance with Chapter I of Title V of the Council Directive 2006/112/CE on the common system of value added tax, the place of dispatch is deemed to be the address in the Member State where the Goods are delivered and the applicable VAT thereof will be the current established VAT of each corresponding Member State where the Goods are received, according to the purchase order(s). In accordance with applicable current regulations of each country, the regulation in Article 194 of the Council Directive 2006/112/EC may apply to Goods supplied in certain Member States of the European Union whether the Customer is or should be liable for payment of VAT. In this occurrence, no VAT will be charged to the Customer provided that the receiver of the Goods confirms that the VAT corresponding to the received Goods will be recorded by the Customer as specified in abovementioned Article 194.

9 - Payment

You must pay the Goods by credit card prior to their dispatch.

In the event that the sum due cannot be debited for whatever reason (including, without limitation, stopped payment, refusal by the bank/card issuer) the order will be cancelled immediately. The payable amount is indicated in the electronic order confirmation. Your credit card (Carte Bleue or Visa) will be debited immediately on the Internet. In any event, SPACE SARL reserve the right to cancel any order or delivery in case of a dispute regarding late, partial or non-payment of a previous order by the Customer, in case of refusal by the bank/card issuer or if the card was not issued by a French bank. SPACE SARL is not liable for a cancellation of order in this instance.

10 – Secure Payment

sugarproduct.com is linked with Bank CIC (French bank). Pay Zen treats the secured payment interface. On payment, you will be linked to Pay Zen payment platform using the industry standard encryption protocol known as Pay Zen to keep your information secure. sugarproduct.com never have access to your bank details.

11 – Delivery

The order submitted by the Customer will be processed only after full payment. It will be dispatched at the delivery address given by the Customer. Parcel will be sent with a packing list and invoice at the delivery address given by the Customer.

11.1 Standard delivery in Metropolitan France:

We are using Colissimo service of La Poste (French postal service) where standard delivery costs 10 Euros (single charge) and takes 2 to 5 working days (for Metropolitan France). A signature will be required upon receipt of the goods, at the delivery address you indicated: you therefore must fill in the proper details in the corresponding fields.

If there is no-one available to accept the parcel, the postman will leave a non-delivery notice and collection details (post office address and deadline). 10 to 15 days are generally allotted to collect your recorded mail.

In case of non-delivery (no response to non-delivery notice, address not valid…), your parcel will be returned to our warehouse. We will contact you by email to give you the reasons for non-delivery. We may ask you to confirm delivery address and plan a new date for dispatching the Goods. In case of non-delivery due to invalid information provided by the Customer (including, without limitation, address not valid, wrong postal code, no door code provided, staircase number or name not provided, wrong name on site…), the delivery will be delayed. The Company shall not be responsible for such inconvenience.

11.2 Deliveries outside Metropolitan France and in Europe

Deliveries outside Metropolitan France and in Europe are treated by Colissimo service of La Poste (French postal service) for a standard cost of 20 Euros – delivery in 3 to 5 days (working).

11.3 Deliveries outside Metropolitan France and outside Europe

Deliveries outside Metropolitan France and outside Europe are treated by Colissimo international service of La Poste (French postal service) for a standard cost of 30 Euros – delivery in 7 to 15 days (working).

11.4 Events beyond our control

We will not be liable for any failure or delay in performance of our contractual obligations, caused by events outside our reasonable control. This Event includes any act, event, non-happening, omission or accident beyond our reasonable control and includes in particular (without limitation):

    1. Strikes, closures or other industrial action.
    2. Civil commotion, riot, invasion, terrorist attack or threat of terrorist attack, war (declared or not) or threat or preparation for war.
    3. Fire, explosion, storm, flood, earthquake, subsidence, epidemic or other natural disasters.
    4. Impossibility of the use of railways, boats, planes, roads or other means of public or private transport.
    5. Inability to use the networks of public and private telecommunications.
    6. Acts, decrees, legislation, regulations or restrictions of any government.
    7. Strike, failure or accidents shipping, postal or other transportation.

 

Our performance under the Agreement will be suspended for the duration of the Force Majeure event and our turnaround time will be extended accordingly. We try wherever possible to stop this events or to find a solution that allows us to perform our contractual obligations despite this events.

12 – Your right of cancellation and Goods return

In accordance with the European Parliament and Council Directive regulating Consumers’ rights, the consumer has fourteen (14/ 30 days holiday periods season) clear days after reception of the Goods in which to exercise his right of withdrawal without giving a reason therefor or incurring a penalty. Within twenty-eight (28) days (as fourteen days add on to the 14 day withdrawal delay), the Customer can return the delivered Goods in their original packaging, complete with tags and any related accessories or instruction booklets, together with a copy of the original invoice to:

The cost of returning the goods shall be borne by you. A refund (exclusive of the delivery charges) will be issued to the original card that was used for the purchase or by check, within thirty (30) days of receipt of the return in our warehouse. Damaged articles, not in the same condition as when sent originally, will not be reimbursed. 13 – Exchange of Goods

On delivery, the Customer has to check that the Goods received comply with the placed order. Exchange of Goods and refunds in case of non-compliance. The Customer shall advise SPACE SARL of the non-compliance of the Goods of the contracted order within 7 days after delivery by email to webmaster@sugarproduct.com. On the Company agreement, the Customer shall return the Goods in their original packaging, complete with tags and any related accessories or instruction booklets, together with a copy of the original invoice to SUGAR - SPACE SARL, 115 Av des Chutes Lavie, 13013 Marseille, FRANCE. It is the Customer’s responsibility to obtain proof that the goods have been returned, by returning the items by registered post or by such other means which gives proof of date of postage and delivery. Should the non-compliance result in a human error from our part or in the delivery of a faulty item, we will bear the cost of the return. In all other instances, the cost of returning the goods shall be borne by the Customer. SPACE SARL shall exchange the faulty item(s) or shall issue a refund, in accordance with the Customer’s choice. In the instance that the Goods cannot be exchanged, a refund will be issued by the Company to the original card that was used for the purchase within 30 days of receipt of the return in our warehouse, such refund will include the delivery charges should the complete order be faulty. Notwithstanding the specific warranties delivered to the Customer for a specific delivered product, the Goods sold buy the Company comply with legal warranties of European parliament and Council Directive 1999/44/EC.

14 – Intellectual Property Rights

The Website remains the exclusive property of the Company SPACE SARL. This website and its content including all text, graphics, logos, button icons, images, data compilations and software used in connection with this website, is our property or that of our suppliers and is protected copyright, trademarks, database rights and other intellectual property rights. Any attempt to access the Website source code and protocols or any reproduction, whether complete or partial, modification or use of these marks, illustrations, images and logos, for whatever reason and in whatever medium, without our written, express and prior agreement, is strictly prohibited. Any copying, reproduction or fraudulent use through any means is considered as counterfeiting and the counterfeiter’s civil and/or criminal liability may be held. SPACE SARL reserves the right to claim for compensation for the recognized prejudice. You hereby acknowledge that SPACE SARL Website and its content are protected copyright, trademarks, patents rights, database rights and other lawful intellectual property rights.

15 - Applicable Laws

Any relevant terms and conditions, policies and notices shall be governed by and construed in accordance with the laws of the French Republic without giving effect to any principles of conflict of law. You hereby consent to the exclusive jurisdiction of the High Court of France in respect of any disputes arising in connection with the website, or any relevant terms and conditions, policies and notices or any matter related to or in connection therewith.
